These Terms of Use (the &quot;Terms&quot;) govern the use of the GeoStru NX applications and of the NX credits that power them, and form a binding agreement between EngSoft and the person or organisation using the service (&quot;you&quot;). By creating an account, purchasing credits or using any GeoStru NX application you accept these Terms. Last updated: August 2026.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">1. Provider<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The service is provided by <strong>ENGSOFT SRL<\/strong> (CUI 30277934; Trade Register no. J2012001517126), a company incorporated under Romanian law with registered office in Cluj-Napoca, Str. Sarmisegetusa 17\/19, Romania. Commercial and technical support: the Support section of your account or <strong>info@geostru.ai<\/strong>. Data protection matters: <strong>privacy@geostru.ai<\/strong>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2. Scope<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms apply to the GeoStru NX web applications, to the user account on geostru.ai and to the NX credits purchased through it. They do not apply to GeoStru desktop software, which is licensed separately under its own licence terms. The <a href=\"\/privacy-policy\">Privacy Policy<\/a> and the Cookie Policy complete these Terms and form an integral part of them.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. Account<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>An account is created when a purchase is completed; the data provided for registration and invoicing must be accurate and kept up to date.<\/li>\n\n\n\n<li>Credentials are personal and non-transferable. You are responsible for keeping them confidential and for every activity carried out through your account.<\/li>\n\n\n\n<li>An account is intended for use by one professional. Sharing credentials so that several people work simultaneously on the same account is not permitted.<\/li>\n\n\n\n<li>If you suspect unauthorised access, notify us without delay at info@geostru.ai.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">4. Right to use the applications<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">EngSoft grants you a non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the GeoStru NX applications through a supported browser, for your own professional activity, for as long as your account is active and within the limits of the credits available to you.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You may not: (a) resell, rent or make the applications available to third parties as a service of your own; (b) reverse engineer, decompile or attempt to extract the source code or the calculation kernels, save to the extent permitted by mandatory law; (c) access the applications or their interfaces by automated means, or circumvent, alter or manipulate the credit metering, the usage limits or the authentication mechanisms; (d) upload unlawful content or content that infringes third-party rights; (e) use the service in a way that compromises its security, its availability or its use by others.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The outputs you generate \u2014 calculation reports, drawings, exported files \u2014 may be used freely in your professional work.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. NX credits and their validity<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>How they work.<\/strong> Chargeable operations \u2014 calculations, reports, exports, imports, AI features \u2014 consume credits from a single wallet that is valid across all GeoStru NX applications.<\/li>\n\n\n\n<li><strong>Cost of operations.<\/strong> The number of credits for each operation is published in the tariff shown on the <a href=\"\/pricing\">pricing page<\/a> and inside the applications. The tariff may be updated for future operations; updates never apply retroactively to credits already spent.<\/li>\n\n\n\n<li><strong>Nature of credits.<\/strong> Credits are a prepaid means of using the service. They are not electronic money, they have no cash value, and they cannot be transferred between accounts or converted into money.<\/li>\n\n\n\n<li><strong>Validity: 12 months.<\/strong> Credits expire 12 months after the top-up. Every new top-up extends the validity of the whole balance \u2014 credits already in the wallet and newly purchased credits alike \u2014 to 12 months from the date of that top-up. Credits that have not been used by the expiry date are cancelled and give rise to no refund, extension or compensation.<\/li>\n\n\n\n<li><strong>Transparency.<\/strong> The current balance, the expiry date and the full history of top-ups and consumption are always visible in your account; that record is the reference in the event of any dispute.<\/li>\n\n\n\n<li>Some applications may be offered on a subscription basis instead of credits; where that is the case, it is stated on the product page of the application concerned.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">6. Prices, payment and invoicing<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Prices are expressed in euro and are exclusive of VAT. VAT is applied at checkout according to the law applicable to your country and status: EngSoft is established in Romania, and business customers established in another EU Member State who provide a VAT number valid in the VIES system are invoiced under the reverse-charge mechanism.<\/li>\n\n\n\n<li>Payment is made through the providers available at checkout. Credits are added to your wallet as soon as the payment is confirmed.<\/li>\n\n\n\n<li>An invoice is issued for every purchase and made available electronically.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">7. No refunds on credit purchases<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Credits are digital content that is made available immediately after payment. <strong>Purchases of credits are final and are not refunded<\/strong>, whether the credits are unused, partly used or expired, and no reimbursement or conversion into money is granted for a credit balance that is not used.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Consumers.<\/strong> If you buy as a consumer \u2014 a natural person acting outside your trade, business or profession \u2014 by completing the purchase you expressly request that the credits be made available to you immediately and you acknowledge that, once they have been made available, you lose the right of withdrawal provided for digital content by Article 16(m) of Directive 2011\/83\/EU, as implemented in Romania by Government Emergency Ordinance no. 34\/2014.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Technical errors.<\/strong> The above does not cover payment errors: a duplicate charge, credits not delivered after a successful payment, or an amount charged that differs from the amount displayed. Report these within 14 days to info@geostru.ai and they will be corrected. Your statutory rights in the event of a service that is defective or does not conform remain unaffected.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Availability and evolution of the service<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We use reasonable efforts to keep the applications continuously available, but we do not guarantee uninterrupted operation unless a separate service level agreement has been signed. Access may be suspended for scheduled maintenance, security measures or causes beyond our control. The applications evolve: features may be added, changed or discontinued. If an application is permanently withdrawn, the credits remaining in your wallet stay usable in the other GeoStru NX applications.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Professional use, verification of results and AI features<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The GeoStru NX applications are tools that support the work of qualified professionals. The choice of input data, the choice of calculation method, the interpretation and verification of results and compliance with the technical standards applicable to the project remain your responsibility as the designer.<\/li>\n\n\n\n<li>The AI features \u2014 assistants, OCR, automatic extraction from documents and drawings \u2014 produce approximate results that must always be checked before being used in a project.<\/li>\n\n\n\n<li>The applications do not replace professional judgement and are supplied without any warranty that the results are fit for a particular purpose or that they comply with a specific body of regulations.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">10. Your data and content<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You retain ownership of the projects, files and data you upload. You grant EngSoft the rights strictly necessary to host and process them in order to provide the service, including through the sub-processors listed in the <a href=\"\/privacy-policy\">Privacy Policy<\/a>. We recommend that you keep your own copies of important data; the applications provide export functions for that purpose. The processing of personal data is described in the Privacy Policy.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11. Intellectual property<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The applications, their calculation kernels, interfaces and documentation, together with the GeoStru and GeoStru NX names, trademarks and logos, remain the exclusive property of EngSoft and of the GeoStru group. These Terms grant a right of use only and transfer no intellectual property right.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Suspension and closure of the account<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend or close an account in the event of breach of these Terms, fraudulent use, non-payment, an unfounded payment reversal or attempts to circumvent the credit metering, with prior notice where circumstances allow and with immediate effect in serious cases. Where an account is closed for a breach attributable to the user, any remaining credits are forfeited without refund. You may stop using the service at any time: credits involve no subscription and no automatic renewal; if you close your account voluntarily, unused credits are not refunded, in accordance with section 7.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13. Limitation of liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Within the limits permitted by mandatory law, EngSoft is not liable for indirect or consequential damage, loss of profit, loss of production or of data, or design or construction costs arising from the use of results that have not been verified. EngSoft's total liability in connection with the service is limited to the amounts paid by you in the twelve months preceding the event giving rise to it. Nothing in these Terms excludes or limits liability for wilful misconduct or gross negligence, nor the statutory rights of consumers.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. Changes to these Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may update these Terms: the current version is always published on this page with the date of last update. Material changes are notified by email or inside the applications at least 15 days before they take effect. Continued use of the service after that date constitutes acceptance. If you do not accept the changes, you may stop using the service; credits already purchased remain governed by section 7 and by their expiry date.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">15. Governing law and disputes<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms are governed by Romanian law. For customers acting in the course of a business or profession, the courts of Cluj-Napoca have exclusive jurisdiction. Consumers keep the protection of the mandatory provisions of the law of their country of residence and may bring proceedings before the courts of that country; they may also use the European online dispute resolution platform at ec.europa.eu\/consumers\/odr or contact the Romanian consumer protection authority (ANPC).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">16.
